What are Registrar and Transfer agents (RTA)?

Registrar and Transfer Agents (RTA) play a crucial role in managing share-related activities for companies. Here's a breakdown of their functions in relation to an IPO :

Public Issues Handling:

  • RTAs are responsible for collating the applications received from investors and finalising the allotments for various share issues.

Record Keeping:

  • They maintain accurate records of applications and funds received from investors or paid to sellers of securities.
  • Post Public issues RTA's maintain the records for the shareholders based on data received from depositories and physical certificates held by Shareholders.  

Corporate Assistance:

RTAs assist the corporate body in:

  1. Determining the basis of allotment of securities in consultation with the stock exchange.
  2. Finalizing the list of applicants entitled to the allotment.
  3. Processing and dispatching allotment letters, refund orders, certificates, and other relevant documents / mails  related to an issue.
  4. Post public issues they help in all corporate action related activities like dividends, bonus, stock split etc.,
